1. Introduction and Acceptance of Terms

Welcome to Tessera Tickets. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Buyer,” “Organizer,” “User,” “you,” or “your”) and Tessera Ticketing Solutions Ltd (“Tessera,” “we,” “us,” or “our”). These Terms govern your access to and use of the Tessera Tickets website, mobile applications, APIs, and all related services (collectively, the “Platform” or “Services”) used to browse events, purchase tickets, or create and manage events.

By accessing the Platform, creating an account, purchasing a ticket, or listing an event, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is governed by the Zambia Data Protection Act No. 3 of 2021. If you do not agree to these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

2. Tessera’s Role as an Intermediary

You acknowledge and agree that Tessera acts solely as a technological intermediary and ticketing agent. We provide the platform that allows third-party event organizers, promoters, and venues (“Organizers”) to sell tickets to attendees (“Buyers”).

  • Tessera does not host, create, organize, or manage the events listed on the Platform.
  • Tessera has no involvement in, control over, or responsibility for the planning, execution, safety, quality, or content of any event.
  • Tessera is not responsible for any experience, outcome, incident, loss, injury, or disappointment arising from attendance at or participation in any event listed on the Platform.
  • All tickets purchased represent a direct agreement between the Buyer and the Organizer. Tessera’s sole responsibility is facilitating the payment transaction and delivering the digital ticket.
  • Any complaint, claim, or dispute relating to the event itself — including but not limited to the quality of the event, its cancellation or curtailment, personal injury, property damage, or failure to meet advertised expectations — is strictly a matter between the Buyer and the Organizer. Tessera is not a party to such disputes and will not intervene.

3. Eligibility and Account Registration

Eligibility

You must be at least 18 years of age to use the Platform. By using the Services, you represent and warrant that you meet this requirement. The collection of data from minors is strictly prohibited without verified parental consent under Section 17 of the Zambia Data Protection Act.

Account Creation

To access certain features, purchase tickets, or list events, you may be required to register for an account. You agree to provide true, accurate, current, and complete information.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access. Tessera will not be liable for any loss or damage arising from your failure to protect your account information.

Account Suspension

We reserve the right to suspend, disable, or terminate your account at any time, without notice or liability, if we determine you have violated these Terms or engaged in fraudulent activity.

4. Purchasing, Pricing, and Payment (for Buyers)

Pricing

All ticket prices are determined exclusively by the Organizer. Prices are subject to change at the Organizer’s discretion prior to the first sale of any ticket for a given ticket type.

Price Lock Protection

Once the first ticket of a given type has been sold, the price for that ticket type is permanently locked on the Platform. Organizers cannot modify the price of, or delete, any ticket type for which at least one ticket has been sold. This protection applies for the full duration of the event’s sales period.

Where an Organizer has set an incorrect price, that price remains valid and binding. Any ticket purchased at that price — whether or not the Organizer considers it an error — is a valid ticket and will be honoured for entry to the event. The Organizer’s sole recourse in such a situation is to contact Tessera support before any tickets have been sold for that ticket type.

Fees and Taxes

The final purchase price may include platform service fees, payment processing fees, facility fees, and applicable taxes. All such fees will be clearly itemized and displayed at checkout prior to the completion of your purchase.

Order Confirmation

Your order is not complete until full payment is authorized and processed. Upon successful payment, you will receive an order confirmation email containing your digital ticket(s).

Pricing Errors

Because ticket prices are locked the moment the first sale occurs, pricing errors in the context of completed purchases are not a basis for cancellation or refund. The only circumstance in which Tessera may cancel an order on pricing grounds is where a documented platform or system fault caused a ticket to be displayed and sold at an incorrect price before any valid sale had occurred, and where Tessera can provide written confirmation of that fault. An Organizer’s change of mind or misconfiguration of their own pricing does not constitute a platform fault.

5. Refunds, Cancellations, and Exchanges (for Buyers)

Tessera’s refund framework operates across three distinct tiers depending on the nature and timing of the refund request.

Tier 1 — Tessera Discretion (Platform and Payment Faults)

Tessera may issue a refund at its sole discretion, without requiring Organizer authorization, in the following limited circumstances:

  • Payment Failures: Where a payment is charged but a ticket is not issued due to a platform or payment gateway error, Tessera will initiate a full refund automatically.
  • Duplicate Charges: Where a Buyer is charged more than once for the same transaction due to a platform fault, Tessera will refund the duplicate amount upon verification.
  • Documented Platform Pricing Faults: Where a ticket was sold at an incorrect price due to a documented system fault occurring before any valid sale of that ticket type, and Tessera can provide written confirmation of the fault, Tessera reserves the right to cancel and refund the affected order. This does not apply where the Organizer configured the price incorrectly — in that case the price is binding (see Section 4).

The 7% refund processing fee is waived on all Tier 1 refunds. These refunds arise from platform faults and the associated costs are absorbed by Tessera.

Tier 2 — Organizer-Triggered Refunds (Cancellations and Postponements)

Where an event is cancelled or postponed by the Organizer, Tessera will process refunds in accordance with the Organizer’s instructions. The Organizer must formally authorize refunds through the Platform before processing can begin.

  • Event Cancellation: If the Organizer cancels an event and authorizes refunds, Buyers will receive a refund of their ticket price minus the 7% processing fee, unless the Organizer elects to cover this fee as a “Top-Up.”
  • Event Postponement: If the Organizer postpones an event and authorizes refunds for Buyers who do not wish to attend the rescheduled date, the same terms apply.
  • Non-Authorization: If the Organizer does not authorize refunds, Tessera will notify affected Buyers but cannot process or compel refunds on the Organizer’s behalf. Tessera assumes no liability in such cases.

Tier 3 — Post-Event Refunds (Sole Organizer Discretion)

Once an event has commenced or concluded, all sales are final. Tessera has no authority to issue, approve, or process refunds for completed events. Any post-event refund request is entirely at the sole discretion of the Organizer.

  • Buyers seeking a refund after an event has started or ended must contact the Organizer directly. Tessera will not accept, review, or action post-event refund requests on behalf of Buyers.
  • If the Organizer chooses to authorize a post-event refund and submits that authorization through the Tessera platform, Tessera will process it subject to the standard 7% fee.
  • Tessera will not intervene in, adjudicate, or mediate any post-event refund dispute between a Buyer and an Organizer.
  • Non-attendance does not constitute grounds for a post-event refund request, regardless of the reason for absence.

Exception: Where an event is cancelled or significantly curtailed after commencement due to a safety incident, venue failure, or force majeure event, the matter is treated under Tier 2. Organizer authorization is still required before Tessera can process any refund.

No Refunds Based on Event Experience

For the avoidance of doubt, Tessera will not issue refunds — under any tier — on the basis of a Buyer’s dissatisfaction with the event itself. This includes, but is not limited to:

  • The quality, content, or production value of the event.
  • The performance or conduct of any artist, speaker, organizer, or other attendee.
  • Any discrepancy between advertised event details and the actual event experience.
  • Personal injury, property damage, or any other incident occurring at or in connection with the event.
  • Partial delivery of the event program (e.g., a performer cancelling within a multi-act lineup).

Refund requests of this nature are the sole responsibility of the Organizer and must be directed to them. Tessera has no liability whatsoever in respect of such claims.

The 7% Refund Processing Fee

A 7% refund processing fee is deducted from all Tier 2 and Tier 3 refunds to cover non-recoverable transaction and platform costs. This fee is waived only on Tier 1 refunds. The fee applies regardless of the reason for the Organizer’s authorization.

6. No Liability for Events

TESSERA IS NOT RESPONSIBLE FOR ANY ASPECT OF ANY EVENT LISTED ON THE PLATFORM. BY PURCHASING A TICKET, YOU ACKNOWLEDGE AND AGREE THAT:

  • Tessera has no involvement in the planning, management, staffing, safety arrangements, or execution of any event.
  • Tessera makes no representations or warranties regarding the quality, safety, accuracy of descriptions, or fitness for purpose of any event.
  • Tessera is not liable for any personal injury, property damage, financial loss, emotional distress, or any other harm arising from your attendance at or inability to attend any event.
  • Your sole recourse for any event-related complaint, claim, or refund request lies with the Organizer of the event, not with Tessera.

7. Ticket Usage, Transferability, and Admission

Personal Use

Tickets are sold for personal use only. You may not purchase tickets for the purpose of commercial resale, scalping, or unauthorized promotions.

Ticket Transfers

If enabled by the Organizer, you may transfer your digital ticket to another individual solely through the official Tessera platform.

Right of Refusal

The Organizer, venue management, and security personnel reserve the right to refuse admission to, or eject, any person whose conduct is deemed disorderly or who fails to comply with venue rules.

8. Organizer Authority and Responsibilities

If you use the Platform to create events, sell tickets, or manage attendees, the following terms apply to you:

Authority

By creating an event on Tessera, you represent and warrant that you are an authorized representative of the entity hosting the event and have the legal authority to bind that entity to these Terms.

Pricing Responsibility and the Price Lock

You are solely responsible for setting correct ticket prices before your tickets go on sale. Once the first ticket of any given type has been sold, the price for that ticket type is permanently locked and cannot be modified or deleted. You acknowledge that any ticket sold at a price you consider erroneous remains a valid ticket that must be honoured for entry, and that Tessera bears no liability for pricing mistakes made during your event setup.

Event Legality and Safety

You are solely responsible for ensuring your events comply with all applicable local, national, and international laws, including obtaining all necessary permits, licenses, and insurance. You agree not to use the Platform to promote illegal, unsafe, or sexually explicit events.

Accurate Information

You must provide clear, accurate, and up-to-date information regarding event dates, times, venues, age restrictions, and pricing. Tessera reserves the right to remove any event listing that violates our policies or is deemed misleading.

Liability for Event Outcomes

You, as the Organizer, assume full and sole responsibility for all aspects of your event, including its safety, quality, execution, and compliance with applicable law. You acknowledge that Tessera bears no liability for any claims arising from Buyers’ attendance at or experience of your event, and you agree to indemnify Tessera accordingly (see Section 15).

9. Organizer Financial Terms, Payouts, and Holds

Platform Fees

Tessera charges service fees and payment processing fees for each ticket sold. These fees will be deducted from your total sales revenue before payouts are processed.

Payout Schedule

Unless a custom agreement is in place, ticket sales revenue (minus applicable Tessera fees) will be remitted to your designated bank account within a specified number of business days following the successful completion of the event.

Reserves and Holds

Tessera reserves the right to withhold a percentage of your ticket sales (a “Reserve”) or delay payouts if we suspect fraudulent activity, anticipate high chargeback rates, or if the event has a high risk of cancellation. Reserves will be released once the risk period has passed.

Taxes

You are solely responsible for determining, collecting, and remitting any applicable sales, value-added (VAT), or entertainment taxes associated with your ticket sales.

10. Organizer Cancellations, Refunds, and Chargebacks

Organizer Refund Obligations

You are responsible for clearly communicating your refund policy to Buyers on your event page. Your authorization is required for all Tier 2 and Tier 3 refunds. For Tier 1 refunds arising from platform faults, Tessera acts independently and will notify you accordingly.

Cancellations and “Top-Ups”

If you cancel, postpone, or significantly alter an event, you are legally obligated to authorize and fund refunds to Buyers. If you elect to issue full 100% refunds, you agree to immediately remit the 7% “Top-Up” fee to Tessera to cover unrecoverable platform processing costs. If you do not provide the Top-Up funds, the 7% fee will be deducted from Buyers’ refunds. Tessera assumes no liability for Buyer dissatisfaction arising from this deduction or from your failure to authorize refunds.

Post-Event Refund Authority

Post-event refund decisions rest entirely with you as the Organizer. Tessera will not adjudicate or intervene. If you choose to authorize a post-event refund, submit that authorization through the Platform and the standard 7% fee will apply.

Chargeback Liability

You are financially responsible for any credit card chargebacks and associated bank dispute fees initiated by your attendees. Tessera reserves the right to deduct chargeback amounts and fees from your current or future payouts, or to invoice you directly for these costs. Any attempt by a Buyer to fraudulently dispute a valid ticket purchase charge will result in the immediate cancellation of their tickets and permanent suspension of their account.

11. Platform Availability and Disclaimer of Warranties

“As-Is” Service

The Tessera platform is provided on an “as-is” and “as-available” basis. While we strive for maximum uptime, Tessera does not guarantee that the Services will be uninterrupted, error-free, or completely secure.

No Liability for Lost Revenue or Operations

Tessera shall not be liable to you, the Organizer, or any third party for any lost ticket sales, lost profits, reputational damage, or other incidental or consequential damages resulting from platform downtime, offline scanning sync delays, technical glitches, payment gateway failures, or scheduled maintenance.

12. Data Privacy and Attendee Information

Compliance

As an Organizer, you will receive access to certain attendee data (e.g., names, emails) to manage your event. You agree to use this data strictly in accordance with the Zambia Data Protection Act No. 3 of 2021 and any other applicable privacy laws.

Restrictions

You may only use attendee data for event administration and your own marketing (if the Buyer explicitly opted-in). You may not sell, rent, or misuse attendee data provided through the Platform.

13. Prohibited Conduct

By using the Platform, you agree not to:

  • Use the Services for any illegal or fraudulent purpose.
  • Use automated means (bots, scrapers) to download data or bypass ticket purchase limits.
  • Interfere with the operation of the Platform (e.g., viruses, malware).
  • Attempt to gain unauthorized access to our servers or other users’ accounts.

14. Intellectual Property

All content, design, text, graphics, and software on the Platform are the exclusive property of Tessera or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive license to use the Platform for personal ticket purchasing or authorized event management.

15. Limitation of Liability and Indemnification

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TESSERA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM, YOUR ATTENDANCE AT OR EXPERIENCE OF ANY EVENT (INCLUDING PERSONAL INJURY, PROPERTY DAMAGE, OR DISSATISFACTION WITH THE EVENT), OR THE CONDUCT OF ANY ORGANIZER OR ATTENDEE. TESSERA’S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO TESSERA FOR THE SPECIFIC TICKET(S) GIVING RISE TO THE CLAIM, OR THE TOTAL FEES PAID TO TESSERA BY THE ORGANIZER FOR THE RELEVANT EVENT.

Indemnification by Organizers

If you are an Organizer, you agree to defend, indemnify, and hold harmless Tessera, its affiliates, directors, and employees from any claims, damages, lawsuits, or expenses (including legal fees) arising out of your event (including personal injury, property damage, attendee misconduct, or Buyer dissatisfaction with the event experience), your failure to authorize or fund required refunds, your pricing errors (given the binding nature of the price lock), or your violation of any law or the rights of a third party.

16. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia.

Arbitration

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in Lusaka, Zambia, in accordance with the Arbitration Act No. 19 of 2000 of the Laws of Zambia.
